Terms of Service

These Terms of Service ("Terms") govern your access to and use of GroupConnectPro (the "Service"), a product of Z-JAK Enterprises, LLC dba Z-JAK Technologies ("we", "us", "our"), based in Louisville, Kentucky. By creating an account or using the Service, you agree to these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to that organization.

The Service. GroupConnectPro is software for running networking, referral, and lead-share groups. It provides tools for meetings, attendance, referrals, one-to-ones, a guest pipeline, member directories, reporting, and related features. We may add, change, or remove features over time.

Eligibility and accounts. You must be at least 18 years old to use the Service. You agree to provide accurate account information and to keep it current. You are responsible for safeguarding your login credentials and for all activity under your account. Notify us promptly of any unauthorized use.

Group leaders and administrators. Group leaders and organization administrators can add members, assign roles and seats, post announcements, and manage group settings. If you act as a leader or administrator, you are responsible for having a lawful basis and, where required, the consent of the people whose information you add, and for using member contact features responsibly. You agree not to add people who have not agreed to participate, and not to use the Service to send unwanted or unlawful communications.

Acceptable use. You agree not to: use the Service for any unlawful purpose or in violation of these Terms; harvest, scrape, or misuse other members' information; send spam or deceptive, harassing, or infringing content; attempt to gain unauthorized access to the Service, other accounts, or our systems; probe, scan, or test the vulnerability of the Service without our written permission; interfere with or disrupt the Service; or resell or provide the Service to third parties except as expressly permitted.

Your content and data. You retain ownership of the information and content you and your members submit to the Service ("Your Content"). You grant us a limited license to host, store, process, and display Your Content solely to operate and provide the Service to you. You are responsible for the accuracy of Your Content and for having the rights and permissions necessary to submit it. Aggregated or de-identified data that does not identify you or your members may be used to operate and improve the Service.

Privacy. Our handling of personal information is described in our Privacy Policy, which is part of these Terms. Members control which profile fields are visible to others through the privacy settings in their profile.

Free trial. New groups may start with a free trial (90 days unless stated otherwise), with no payment method required to begin. We may change or end trial offers at any time. Unless you subscribe to a paid plan before the trial ends, your access to paid features may be limited or suspended.

Fees and billing. Paid plans are billed in advance on a recurring basis (typically monthly) at the price for your selected plan and member count. Prices are shown on our pricing page and may change with notice; changes take effect on your next billing cycle. Card payments are processed by our payment processor. By subscribing, you authorize us to charge your payment method for the applicable fees, including on automatic renewal, until you cancel. Fees are stated in U.S. dollars and exclude taxes, which are your responsibility where applicable.

Renewal and cancellation. Subscriptions renew automatically for successive billing periods unless you cancel before the renewal date. You may cancel at any time from your account or by contacting us; cancellation takes effect at the end of the current billing period. Except where required by law, fees already paid are non-refundable, and canceling does not entitle you to a refund for the remainder of a paid period.

Third-party services. The Service relies on third-party providers (including Supabase, Vercel, Cloudflare, Mailgun, and Stripe) and may link to or integrate with third-party tools. We are not responsible for third-party services, and your use of them may be governed by their own terms and policies.

Intellectual property. The Service, including its software, design, and content we provide, is owned by us and our licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service in accordance with these Terms. You may not copy, modify, distribute, sell, or reverse engineer any part of the Service except as permitted by law.

Feedback. If you send us suggestions or feedback, you grant us the right to use it without restriction or obligation to you.

Disclaimers. The Service is provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure. GroupConnectPro is a tool for managing your group; it is not legal, financial, tax, or professional advice.

Limitation of liability. To the fullest extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, data, or goodwill. Our total liability for any claim arising out of or relating to the Service or these Terms will not exceed the amount you paid us for the Service in the twelve months before the event giving rise to the claim, or one hundred U.S. dollars if you paid nothing.

Indemnification. You agree to indemnify and hold harmless Z-JAK Enterprises, LLC and its officers, employees, and agents from any claims, damages, and expenses (including reasonable legal fees) arising out of Your Content, your use of the Service, or your violation of these Terms or the rights of any third party, including the members you add.

Suspension and termination. You may stop using the Service at any time. We may suspend or terminate your access if you violate these Terms, if required by law, or to protect the Service or other users. Upon termination, your right to use the Service ends. We may retain and delete data as described in our Privacy Policy. Sections that by their nature should survive termination will survive.

Changes to these Terms. We may update these Terms from time to time. Material changes will be posted here with an updated "Last updated" date, and your continued use of the Service after changes take effect means you accept the revised Terms.

Governing law. These Terms are governed by the laws of the Commonwealth of Kentucky, without regard to its conflict-of-laws rules. You agree that the state and federal courts located in Jefferson County, Kentucky have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, and you consent to personal jurisdiction there.
